Maintenance Terms & Conditions
1. Parties to This Agreement
This Website Maintenance Agreement ("Agreement") is entered into between Pixel Pals, a trading name of Design Dazzle Ltd, a company registered in England and Wales ("Pixel Pals", "we", "us"), and the client named on the associated invoice ("Client", "you").
By making payment of any invoice issued by Pixel Pals, the Client confirms they have read, understood, and agree to be bound by these Terms and Conditions in full. These terms apply to all maintenance agreements, regardless of whether a separate written contract has been signed.
2. Agreement Term
This Agreement is for a fixed term of twelve (12) months from the date of the first invoice ("Agreement Period"). The Agreement does not automatically renew. Continuation beyond the Agreement Period requires a new agreement to be entered into.
All invoices issued under this Agreement are due upon receipt. Payment is required before the commencement of each monthly service period. Pixel Pals reserves the right to withhold or suspend services in any month where payment has not been received.
3. Scope of Services — What Is Included
The standard Website Maintenance Agreement covers the following services for Wix-based websites only:

Minor content edits — small text changes, image swaps, and minor copy updates to existing pages

Bug fixes and error handling — identifying and resolving technical errors that affect normal website function

Wix app and integration updates — monitoring and applying available updates within the Wix platform

Security monitoring — routine checks for any security concerns within the Wix environment

Performance checks — periodic review of website loading speed and basic performance metrics
The above services are limited to routine maintenance tasks. The definition of "minor" is at the sole discretion of Pixel Pals. Any task that requires significant time, specialist skills, or falls outside routine upkeep will be treated as out-of-scope work and billed accordingly (see Clause 4).
4. Out-of-Scope Work — What Is Not Included
The following are explicitly excluded from the standard maintenance agreement and will be quoted and billed separately at prevailing market rates:

New page creation, website redesigns, or structural changes to site architecture

Full or partial content rewrites, copywriting, or editorial work

Google Ads setup, restructuring, or ongoing management

Search engine optimisation (SEO) strategy, implementation, or consulting — unless covered under a separate SEO package

Custom automations, integrations, or advanced development work
-
Data analysis, reporting, or creation of custom documents such as spreadsheets or Excel reports
-
Email marketing setup or management
-
Social media management or content creation
-
Training sessions or consulting calls beyond brief onboarding
-
Any third-party platform migration (e.g. booking system changes, payment provider migrations)
-
Emergency or out-of-hours support (see Clause 6)
Where a Client requests work that falls outside the scope of this Agreement, Pixel Pals will notify the Client and provide a separate quote. Work will not commence until the Client has confirmed agreement to the additional charges, either in writing or verbally. Verbal confirmation followed by the Client's acceptance and use of the delivered work constitutes agreement to the associated charges.
All out-of-scope work is billable in accordance with these Terms and Conditions. Pixel Pals reserves the right to invoice for any out-of-scope work delivered during the Agreement Period, including where such work was provided without a formal quote having been issued in advance.
5. Third-Party Subscriptions and Platform Costs
Pixel Pals does not manage, pay for, or take responsibility for any third-party subscriptions on behalf of the Client. This includes, but is not limited to, the Client's Wix subscription plan, domain registration fees, third-party app subscriptions, and hosting costs.
It is the Client's sole responsibility to maintain active and paid subscriptions for all third-party services required to keep their website operational. Pixel Pals accepts no liability for website downtime, loss of functionality, or data loss arising from the Client's failure to maintain such subscriptions.
6. Emergency and Out-of-Hours Support
Emergency support — including but not limited to urgent website downtime, critical errors, or issues requiring immediate attention outside of standard working hours — is not included within the standard maintenance fee.
Emergency support requests will be assessed individually and quoted separately. Pixel Pals will make reasonable efforts to respond to emergency requests promptly but does not guarantee response times for issues outside the agreed scope of this Agreement.
7. Client Responsibilities
The Client agrees to:

Provide Pixel Pals with timely access to all platforms, accounts, and materials reasonably required to perform the agreed services

Ensure all invoices are paid promptly upon receipt

Direct all communications relating to this Agreement to Pixel Pals as a company via info@pixelpals.agency

Maintain their own Wix subscription and all other third-party platform subscriptions
-
Inform Pixel Pals promptly of any issues, concerns, or changes in requirements
Pixel Pals reserves the right to suspend services without liability where the Client fails to meet these responsibilities, including where access to required platforms is not provided or where payment is overdue.
8. Payment Terms and Late Payment
All invoices are due upon receipt. Where payment is not received within 14 days of the invoice date, Pixel Pals reserves the right to:

Withhold or suspend any or all services until payment is received

Withhold delivery or publication of any content or work product completed during the period of non-payment

Charge statutory interest on overdue amounts in accordance with the Late Payment of Commercial Debts (Interest) Act 1998
The withholding of content delivery or publication during periods of non-payment does not constitute a failure to deliver services. Work completed but withheld pending payment remains the property of Pixel Pals until the relevant invoice is settled in full.
Continued payment of invoices without formal written objection constitutes the Client's confirmation that services are being received and performed as agreed.
9. Cancellation and Early Termination
This Agreement is for a fixed twelve-month term. If the Client wishes to terminate the Agreement before the end of the Agreement Period:

The Client must provide written notice to info@pixelpals.agency

Termination takes effect immediately upon Pixel Pals confirming receipt of the notice

No refund will be issued for any portion of the Agreement Period, whether paid monthly or annually
-
All outstanding invoices remain due and payable in full
Pixel Pals reserves the right to terminate this Agreement immediately and without refund where the Client is in material breach of these Terms, including but not limited to persistent late payment, failure to provide access, or initiation of a chargeback or payment dispute.
10. Intellectual Property and Content Ownership
All work product, content, copy, reports, and materials created by Pixel Pals under this Agreement or any out-of-scope engagement remain the intellectual property of Pixel Pals until all outstanding invoices relating to that work have been paid in full.
Upon receipt of full payment, ownership of the relevant deliverables transfers to the Client. Pixel Pals retains the right to reference work completed for the Client in its portfolio and marketing materials unless otherwise agreed in writing.
11. Limitation of Liability
Pixel Pals will perform all services with reasonable care and skill. However, Pixel Pals accepts no liability for:

Loss of revenue, business, data, or goodwill arising from website downtime or technical issues

Issues arising from the Client's failure to maintain third-party subscriptions

Changes made to the website by the Client or any third party without Pixel Pals' knowledge

Any deterioration in website performance or SEO metrics following the end of this Agreement or following the Client's revocation of Pixel Pals' access to the website

Actions or omissions of third-party platforms including Wix
Pixel Pals' total liability under this Agreement shall not exceed the total fees paid by the Client in the three months immediately preceding the event giving rise to the claim.
12. Confidentiality and Data
Both parties agree to keep confidential any sensitive business information shared during the course of this Agreement. Pixel Pals will handle all Client data in accordance with applicable UK data protection legislation, including the UK GDPR and the Data Protection Act 2018.
The Client acknowledges that Pixel Pals may retain records of all communications, deliverables, and transaction data for the purposes of administering this Agreement and for use in establishing, exercising, or defending any legal claim arising from it.
13. Disputes
In the event of a dispute, both parties agree to first attempt resolution through direct communication. Pixel Pals should be contacted at info@pixelpals.agency in the first instance.
The initiation of a chargeback or payment dispute with a card provider, bank, or payment processor before first contacting Pixel Pals directly will be treated as a material breach of this Agreement. In such circumstances, Pixel Pals reserves the right to immediately terminate the Agreement, pursue recovery of all outstanding amounts including out-of-scope work, and submit all available evidence to the relevant payment provider.
This Agreement is governed by the laws of England and Wales. Any disputes that cannot be resolved by agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Entire Agreement
These Terms and Conditions, together with the relevant invoice(s), constitute the entire agreement between the parties in respect of website maintenance services. They supersede any prior verbal or written discussions, representations, or agreements.
Pixel Pals reserves the right to update these Terms and Conditions at any time. The current version will always be available at www.pixelpals.agency/maintenance-terms-conditions. Continued use of services following an update constitutes acceptance of the revised terms.
